Terms & Conditions

These are the terms governing the Huduma Credit × Spiro Electric Motorcycle financing contract. Please read both the Special and General Conditions carefully before signing.
Part A
Special Conditions
Spiro – Huduma Credit Sale. These special conditions are subject to the General Conditions below.
General
- By signing these Special Conditions, both Huduma Credit Ltd (“the Company”) and the Customer are bound by them.
- The Customer accepts the terms and conditions governing the sale of the Electric Motorcycle.
- The Company reserves the right to modify these Special Conditions as well as the General Conditions after informing the Customer.
Delivery Waiting Period
The Customer acknowledges that the normal waiting time for delivery of the Electric Motorcycle is twenty-one (21) days from the date the Customer completes all required onboarding steps. Delivery may occur earlier depending on availability, but the 21-day period is the standard expected timeline and earlier delivery is not guaranteed.
Duration
- The contract period is twenty-four (24) months.
- The contract is concluded upon full payment of the daily or monthly instalments within the 24-month period.
- The Customer shall make daily Electric Motorcycle rental payments including Sundays and public holidays.
- These Special Conditions end when the Customer has complied with all obligations under both the Special and General Conditions.
Prices and Terms of Payment
The following payment structure applies to this contract:

Customer Declaration
The Customer declares that they fully understand both the Special Conditions and the General Conditions (together, the “Contract”). They acknowledge the Company may revise the terms after informing them, undertake to comply with all terms of the Contract, and accept personal liability for non-compliance.
Part B
General Conditions of Contract
Agreed between Africa Smart Mobility Solutions Kenya Limited and the Customer.
Scope
These General Conditions apply to all customers leasing or using Electric Motorcycles under a contract with Africa Smart Mobility Solutions Kenya Limited (“the Company”) in partnership with Huduma Credit Ltd.
Definitions
“Battery”, “Electric Motorcycle”, and “Use” carry the meanings set out in the signed contract documentation. The Customer is any individual who has entered into this Contract with the Company.
Customer Obligations for Battery Use
- The Customer must maintain the battery in good working condition.
- Battery swaps must be carried out at authorised swap points only.
- The Customer must not tamper with, modify, or attempt to repair the battery.
- The Customer must ensure the battery is used correctly at all times.
Maintenance
- The Company may suspend services for scheduled or emergency maintenance.
- The Company may request the return of the Battery for inspection or maintenance at any time.
- The Company reserves the right to perform inspections of the Electric Motorcycle and Battery.
Warranty
The warranty on the Electric Motorcycle and Battery is void in any case of misuse, unauthorised repairs or modifications, or damage caused by an accident. The Customer should report any fault or defect to the Company promptly and not attempt independent repairs.
Information
The Customer must provide accurate and up-to-date personal and contact information at the time of application and throughout the contract period. Providing false information is grounds for immediate termination of the Contract.
Battery Loss or Damage
The Customer bears full responsibility for any loss of, or damage to, the Battery while it is in their possession. The cost of replacement or repair will be the Customer's liability and will be recoverable by the Company.
Personal Data
By entering into this Contract, the Customer authorises the Company and Huduma Credit to use their personal data for account administration, service updates, regulatory compliance, and credit reporting to licensed Credit Reference Bureaus. Data is handled in accordance with the Kenya Data Protection Act, 2019. See Huduma Credit's Privacy Policy for full details.
Communication
Notices and communications under this Contract may be delivered in writing or electronically (SMS, email, or via the Company's platform). The Customer is responsible for keeping their contact details current.
Violation
A material breach of this Contract entitles the Company to:
- Immediately terminate the Contract.
- Impose a penalty of KES 15,000.
- Confiscate the Battery and/or Electric Motorcycle.
Termination
The Company may terminate this Contract by giving the Customer thirty (30) days' written notice. Upon termination, the Customer must return the Electric Motorcycle and Battery in good condition and settle all outstanding amounts immediately.
Modifications
The Company may modify the terms of this Contract at any time, provided the Customer is given prior notice of the proposed changes. Continued use of the Electric Motorcycle after the effective date of the changes constitutes acceptance of the updated terms.
Dispute Resolution
This Contract is governed by the laws of the Republic of Kenya. In the event of a dispute, both parties shall first attempt to resolve the matter amicably. If no resolution is reached, the dispute shall be referred to the courts of Kenya or settled through mediation, as agreed by both parties.
Entire Agreement
These General Conditions, together with the Special Conditions signed by the Customer, constitute the entire agreement between the parties. They supersede all prior discussions, representations, or agreements relating to the subject matter of this Contract.
